Responsibilities

Braun Medical Inc. has an opening for Corporate Counsel specializing in the areas of healthcare and technology. The Corporate Counsel is responsible for drafting and negotiating a broad range of contracts, such as, sales agreements, group purchasing agreements, equipment lease and rental agreements, distribution agreements, consultant agreements, development agreements, license agreements, and services agreements. The Corporate Counsel may also manage various legal matters, such as strategic projects that advance the company's strategy in digitalization. In this position, you will be part of a collaborative Legal team focused on transactional and transformative business dealings across the company. This role will report to the Vice President, Deputy General Counsel responsible for the team.

Responsibilities: Essential Duties

  • Structure, draft and negotiate various types of agreements
  • Manage various legal matters, disputes, and strategic projects, as requested
  • Collaborate across many functions, countries, cultures, and time zones to drive results on complex projects

Expertise: Qualifications - Experience/Training/Education/Etc.

Required:

  • JD Degree from a U.S. Accredited law school
  • Admission to at least 1 U.S. state bar or District of Columbia
  • Minimum 4 years contract drafting/negotiating experience
  • Transactions - Specific experience drafting and negotiating a broad range of agreements commonly needed in the medical device/pharma industry, including, without limitation, sales agreements, group purchasing agreements, equipment lease and rental agreements, distribution agreements, consultant agreements, development agreements, license agreements, and services agreements.
  • Healthcare Compliance - Knowledge of Anti-Kickback laws, False Claims Act, Foreign-Corrupt Practices Act, Physician Payments Sunshine Act, HIPAA, and FDA regulations
  • Business Acumen - Understanding of basic business concepts, strategies, and risks
  • Analytical Skills - Excellent judgment, strategic and analytical thinking and the ability to assess risk and mitigations and make recommendations based on the company's values, vision, business goals and risk appetite
  • Innovation - Strong problem-solving/creative skills that drive new business solutions
  • Project Management - Strong priority-setting skills, attention to detail and the ability to work on multiple, competing projects with changing priorities in a fast-paced environment to meet necessary deadlines
  • Communication - Excellent verbal and written communication skills to allow effective interaction with all levels of the organization

  • IP/Technology - General knowledge of intellectual property, big data, software and technology issues
  • Privacy - General knowledge of U.S. state and federal privacy laws, including healthcare privacy and experience negotiating privacy related contracts
  • Device/Pharma Experience - Transactional and contract experience in the commercial or healthcare department of a major law firm, with a combination of in-house experience at a medical device or pharmaceutical company
