Overview:

We are seeking a Engagements Manager who will focus onpreparing, negotiating, monitoring, and tracking outcomes of Agreements such as Nondisclosure Agreements and Material Transfer Agreements.This position resides in the Technology Transfer Division, Partnerships Directorate at Oak Ridge National Laboratory (ORNL).

Major Duties/Responsibilities:

The Engagements Manager drives engagements with the private sector and partners to facilitate our relationships for ORNL's science and technology mission.This role is responsible for key business processes in the Technology Transfer Division: Non-Disclosure Agreements (NDAs) and Material Transfer Agreement (MTAs) processes.

The role manages all requests from Oak Ridge National Laboratory (ORNL) staff for NDAs and MTAs by reviewing each request and determining the specific agreement needs.The requests will then be prioritized and identified for the appropriate agreement and this position will be required to process and complete a portion of these agreements.

This position processes key agreements needed for ORNL to engage with outside parties for both discussions, providing information, or providing/receiving materials.

Non-Disclosure Agreements (NDAs) are needed for ORNL's engagement with other parties, such as universities, research institutions, private sector organization, and companies.These engagements may require the exchange of information that is business sensitive or proprietary information.An NDA is a legal contract between at least two parties that outlines proprietary information, knowledge, or business-sensitive information the parties wish to share with one another but wish to restrict access to or by third parties.ORNL routinely enters into NDAs to receive proprietary information from third parties and to disclose patentable inventions that have not yet been published by the USPTO.Additional information is provided through the ORNL Standards-Based Management System (SBMS) NDA subject area.

Material Transfer Agreements (MTAs) are needed to protect property that is provided or received for an outside party.An MTA is a legal contract that governs the transfer of tangible research materials between two organizations, when the recipient intends to use it for his or her own research purposes. The MTA defines the rights of the provider and the recipient with respect to the materials and any derivatives. Additional information is provided through the ORNL Standards-Based Management System (SBMS) MTA subject area.

The Scope will include:

  • Receiving internal requests from researchers

  • Developing the and maintaining accurate records in the Intellectual Property and Agreements Database

  • Reviewing the agreement and information pertaining to the agreement with ORNL staff, researchers, and company contacts.

  • Creating agreements from document template and also reviewing third party agreements when appropriate

  • Maintaining all records in the Database, creating reports to track status and actions, and developing impact reports for the office and as requested

  • Manage agreement change requests, amendments and extensions

  • Communicating as needed with the Technology Transfer Division, the ORNL researcher and UT-Battelle legal representatives regarding the agreements and engaging with third parties negotiating the agreements

  • Routing for and obtaining signatures to fully execute the agreement

  • Distribute the agreement to relevant parties

  • Finalize the record in Database

Basic Qualifications:

  • A BS degree in a science, engineering, business or related discipline

  • A minimum of 5 years of experience in negotiating and executing agreements and contracts.

  • Contracting experience

  • Business professional communication

  • Attention to detail and accuracy

  • Strong analytical and critical-thinking skills

  • Ability to manage a high volume of requests at a fast pace

  • Project Management skills a plus

  • High degree of professionalism and diplomacy

  • Proficient in Microsoft Office Suite

  • Data/record management database experience a plus

Preferred Qualifications:

  • A MS degree in Business or related discipline

  • Excellent written and oral communication skills.

  • Motivated self-starter with the ability to work independently and to participate creatively in collaborative teams across the laboratory.

  • Ability to function well in a fast-paced research environment, set priorities to accomplish multiple tasks within deadlines, and adapt to ever changing needs.

  • Reporting of agreements status to Lab managers and staff.

Special Requirements:

  • Visa sponsorship is not available for this position.

  • This position requires access to technology that is subject to export control requirements. Successful candidates must be qualified for such access without an export control license.

  • This position requires the ability to obtain and maintain an HSPD-12 PIV badge.
