What you will do:

You will report to the Legal Director and work collaboratively with the Corporate Tax Department's international planning team to provide corporate legal support for the implementation of cross-jurisdictional restructuring and rationalization initiatives within the Johnson Controls group, including project management and the provision of legal advice.

Note that the Group Counsel position is corporate transactional and corporate governance in nature. No tax law knowledge is needed.

How you will do it:

Lead and manage corporate implementation of international, cross-jurisdictional corporate transactions (e.g., mergers, entity formations, conversions and dissolutions, equity contributions, distributions, sales of shares, and sales of assets), including:

  • Identify and troubleshoot threshold legal issues to the implementation of a transaction

  • Coordinate legal step plans with outside legal counsel to ensure compliance with applicable law, and manage/review deliverables thereunder

  • Prepare and/or review drafts of complex legal documents

  • Communicate with internal stakeholders and manage cross-functional (e.g., corporate secretarial, tax, treasury, and accounting) processes and deliverables needed for project implementation

  • Ensure all necessary corporate legal requirements are satisfied, and coordinate closing files

Assist as needed with reviewing and drafting agreements on commercial matters needed for transfer pricing compliance or statutory audit, including IP licensing and royalty prepayment agreements, intercompany loan agreements, shared services agreements, and other intercompany agreements

Participate and assist in enterprise priority projects as requested

What we look for:

Required

  • JD from an ABA accredited law school, and admission to 1 state bar

  • 3-5 years minimum applicable experience Law firm

  • Exceptional collaboration and organizational skills

Preferred

  • Experience in a corporate/M&A department

This is a hybrid role based at our Glendale, WI office. Must be in office -3 days per week.
