Job Description:

The Contracts Attorney is a staff attorney who is primarily responsible for providing legal counsel and support to Finance/Procurement and other internal business teams on vendor and supplier contracts and for reviewing, drafting and negotiating contracts terms to meet business objectives and manage risks. A Hybrid work arrangement is available for this position.

Location: Boston, MA

Reporting Relationships:

This position reports to the Compliance Officer in the Office of General Counsel.

  • Provide counsel and legal support to internal business clients for vendor and supplier facing transactions and contracting process.
  • Draft, negotiate, review, and interpret rights and obligations for contracts covering a wide range of business matters, including technology, professional services, events, and subscription and content services.
  • Manage all aspects of vendor contract legal review, engaging General Counsel, the Compliance Officer and other internal subject matter experts or business personnel as appropriate to coordinate and align contract issues and ensure desired, timely outcomes.
  • Track and monitor contract workflow and maintain contract records and documentation.
  • Develop and maintain template contract documents and provisions and playbooks with acceptable alternatives for routine and recurring purchasing and licensing transactions.
  • Provide training and guidance to internal business and operations teams on contract policies and procedures.
  • Assist the Compliance Officer and the General Counsel in other projects.

Job Requirements:
  • J.D. Degree from an ABA accredited law school and an active state bar license in good standing required.
  • 5-7 years of relevant and recent practice experience, in-house or at a law firm.
  • Business minded with a desire and ability to quickly understand business objectives, assess and analyze business and risk issues, and provide practical business focused legal solutions.
  • Extensive background in drafting, reviewing and negotiating service agreements, licenses, subscriber agreements, sales contracts and consulting agreements.
  • Proven project management and organizational skills, including the ability to work effectively and provide a high quality work product with minimal supervision in an atmosphere of multiple projects, shifting priorities, and frequent tight deadline pressure.
  • Excellent interpersonal and communication skills, both verbal and written.
  • Ability to work collaboratively and build relationships with internal business teams and third-party vendors.
  • Exhibits independent thinking and decision making.
  • Demonstrated ability to sustain high level of productivity and willingness to contribute whatever it takes to get the job done.
  • Strong computer proficiency, including solid command of Microsoft Office products and Workshare or similar document comparison tool.

In accordance with applicable Federal and State laws, the anticipated annual salary range for this position, depending on location, is as follows:

  • Boston, MA: $121,749 to $206,885

In addition to a standard benefits package, this role may be eligible for additional contingent compensation based on an array of factors, including but not limited to: work performance, geographic location, work experience, education, and qualifications. Because such contingent compensation is not yet calculable or may be zero ($0) in some circumstances, the above-listed salary range(s) are Nixon Peabody's good faith estimate of the annual salary(ies) it reasonably expects to pay for the position at the time of this posting.
