Overview
Job Purpose The purpose of this role is to support the Associate General Counsel in advising and supporting a wide range of legal matters across the global ICE Data Services business units, with a special emphasis on commercial data, technology and software licensing transactions and strategic agreements. This is a hands on role where you will managing other attorneys within the department and be responsible for executing on a variety of work including review and negotiation of complex commercial licensing and strategic contractual arrangements including for data and software licenses, service agreements, market data licenses, financial product licenses, redistribution arrangements, exchange agreements and policies and data vendor contracts; creation of form templates; working closely with the business to determine efficient and consistent contracting processes; providing legal support on regulatory matters; providing some legal support to Data Governance, Marketing, Finance, HR and product development departments. Responsibilities
- Manage attorneys within the department, providing guidance, governance and mentorship
- Draft, review and negotiate various agreements for ICE Data Services globally (primarily customer agreements and data sourcing agreements)
- Assist in the preparation and review of external requests for information (RFI's and RFP's)
- Perform a legal review of ICE Data Services marketing materials
- Help identify risk implications of business strategies and plans
- Ensure that advice provided is consistent with the relevant regulatory requirements and ICE policies
- Provide legal support on regulatory matters
- Liaise with ICE business areas and provide advice and assistance as requirements might arise
- Collaborate closely with business, sales and product teams in the context of commercial negotiations and client discussions/issues
- Be an enthusiastic and professional member of the legal department
Knowledge and Experience
- Qualified lawyer in US jurisdiction. Position is suitable for around 10+ years PQE but candidates of other PQE will be considered applicable experience
- Experience managing reports
- Experience working in-house (experience working at a financial services or financial data/technology company would be viewed very favorably)
- Experience in commercial licensing transactions, commercial contracting and contract negotiation/providing legal advice across a variety of products and services
- Experience working with market data and global exchanges would be viewed very favorably
- Strong communication and proven negotiating skills; including the ability to draft and review a variety of contractual documents
- Experience and understanding of financial services / markets would be viewed very favorably, with an ability to work across a broad range of product areas
- Some knowledge and understanding of the details and practical application of the global regulatory agency and requirements impacting IDS services and exchanges, including, but not limited to MiFID II, SEC, CFTC, Data Privacy regulations, US export control laws and OFAC requirements, IOSCO principles and BMR in relation to the index industry would be viewed very favorably
- Comfortable providing articulate and appropriate guidance to executive management with a commercial mindset
- Ability to work autonomously and to adapt effectively in frequently changing working environments
- Ability to manage and prioritize multiple projects and clients simultaneously and effectively and work in a fast-paced environment; ability to work global timeframes, and when the situation calls for it, willingness to work off hours
- Desire and ability to learn business requirements quickly, analyze legal and business risks and propose creative, business-oriented solutions
- Ability to give pragmatic, quality and timely ad hoc advice to all areas of the organization including to management and business heads; adding value in commercial and technical discussions
New York Base Salary Range
The expected base salary for this role, if located in New York, is between $200,900 - $267,800 USD. The base salary range does not include Intercontinental Exchange's incentive compensation. While we provide this range as general guidance, at ICE we compensate employees based on the skillset and experience of the individual.
