MAJOR RESPONSIBILITIES & DUTIES:
- Drafts, reviews, and finalizes a wide range of contracts, including service agreements, government contracts, vendor agreements, construction contracts, data use agreements, business associate agreements (BAAs), clinical services agreements, physician services agreements, healthcare contracts, joint venture agreements, clinical trial agreements, grant contracts, and MOUs, ensuring compliance with legal, regulatory, and organizational requirements.
- Leads contract negotiations, as needed, working closely with internal stakeholders to develop negotiation strategies that align with organizational priorities and risk tolerance, while fostering positive relationships with government agencies, healthcare organizations, and other external partners.
- Conducts thorough legal research to support contract negotiations, including analysis of federal, state, and local regulations impacting Boys Town's programs and services.
- Provides strategic guidance on contract structure, risk management, and negotiation tactics.
- Stays current on emerging legal issues which impact contracts related to cybersecurity, artificial intelligence, data privacy, and digital health technologies, proactively identifying potential risks and advising on best practices for data protection and ethical AI use.
- Supports the continuous improvement of contract management processes, including template development, process documentation, and training for internal teams.
- Assists with contract disputes, terminations, amendments, and compliance reviews as needed.
- Reports directly to the General Counsel, collaborating closely with the legal, compliance and finance teams to ensure accurate and timely contract execution, promoting a culture of accountability and ethical decision-making.

- Extensive knowledge in a wide variety of legal and business areas.
- Exceptional communication and interpersonal skills, with the ability to work effectively with various teams and stakeholders.
- Ability to drive strategy and execute on transactional matters and potential disputes.
- Ability to work cross-functionally with business teams to mitigate risk.
- Ability to successfully resolve complex legal and compliance matters.
- High sense of urgency and the ability to work independently in a team environment while handling multiple priorities, meeting deadlines, and maintaining regulatory compliance.
- Strong interpersonal skills to interact effectively, work diplomatically, and foster proactive business relationships.
REQUIRED QUALIFICATIONS:
- J.D. from an accredited law school and active bar membership in Nebraska required.
- Minimum of 10 years of experience as a practicing attorney, including substantial experience drafting, reviewing, and negotiating complex contracts required.
PREFERRED QUALIFICATIONS:
- Experience working with government contracts, including understanding state and federal procurement processes preferred.
- Strong understanding of the unique regulatory, privacy, and risk management challenges in the healthcare and social services sectors. preferred.
