Overview

Rapiscan Systems is a division of OSI Systems, Inc., a California-based Nasdaq-listed company. Rapiscan provides technologies and services in security inspection, access control, remote sensing and communications for applications in Homeland Security and Defense. Rapiscan is a global company serving clients in more than 100 countries.

This position will be a part of Rapiscan's Americas legal function and will report to Senior Counsel, Americas for Rapiscan. Subject matters overseen will include general commercial transactions including product sales, leasing and software licensing, and regulatory compliance.

The successful candidate will have: (a) a strong entrepreneurial spirit; (b) strong people skills; (c) a high level of maturity and professionalism; (d) the ability to interact comfortably with C-level executives and board members; and the ability to deal with a wide range of issues, circumstances, and personalities.


Responsibilities

  • Drafting and negotiating commercial documentation, negotiating with outside parties, rendering opinions, consulting with and advising internal clients, and representing the company in legal dealings.
  • Manage outside counsel relationships.
  • Involvement in international transactions, including overseeing local legal counsel.
  • Engage with the business team as a business person with legal expertise.
  • Anticipate and guard against legal risks facing the company.
  • Uphold the Company's core values of Integrity, Innovation, Accountability, and Teamwork.
  • Demonstrate behavior consistent with the Company's Code of Ethics and Conduct.
  • Ensure that direct report(s) are trained and evaluated on their knowledge and adherence to the Company's values, Code of Ethics and Conduct, and applicable compliance policies.
  • It is the responsibility of every employee to report to their manager or a member of senior management any quality problems or defects in order for corrective action to be implemented and to avoid recurrence of the problem.
  • Duties may be modified or assigned at any time to meet the needs of the business.

Qualifications

  • Juris Doctorate from an ABA accredited law school.
  • At least 5 to 8 years of experience with a focus on commercial transactions. Mix of law firm and in-house experience a plus.
  • Active member in good standing with state bar.
  • Exceptional communicator, capable of handling complex negotiations and advising senior company management.
  • Extremely organized and detail oriented.
  • Ability to work independently and assume control and accountability for scope of responsibility as it relates to the Company's legal matters.
  • Highly responsive and motivated, willing to work in accordance with project demands.
  • Willing to handle legal projects that are not within areas of previous expertise, i.e., willing to learn on the job and develop new areas of competence.
  • Ability to quickly earn the trust of internal business leaders and to develop strong business and interpersonal relationships with key personnel.
  • Travel as necessary to support the business, including occasional international travel
